Ramy Ramadan

Ramy Ramadan is a Partner in the Corporate practice at Dentons, based in the UAE, specializing in Mergers and Acquisitions. He advises international and regional clients, including corporates, financial sponsors, and sovereign‑related entities, on complex cross‑border M&A, joint ventures, private equity, and strategic investment transactions across a wide range of sectors.

Ramy has particular depth in energy and infrastructure (including the fast‑growing data centers sector), technology, life sciences, and consumer goods. Notable transactions include advising Positive Zero on Blackrock's investment of up to US$400 million; advising on the acquisition of a US$2+ billion stake in ADNOC gas pipelines; advising on the acquisition of industrial hazardous waste assets from ADNOC (awarded “Waste Deal of the Year” by IJ Global, 2023); advising on a US$2 billion petrochemical production facility joint venture with ADNOC; advising on the development and financing of a large‑scale seawater treatment project worth up to US$2.4 billion in Abu Dhabi (awarded “Water Deal of the Year” by IJ Global, 2023); and advising on the development of the Dubai Warsan waste‑to‑energy project (awarded “Middle East and Africa Deal of the Year” by Project Finance International, 2021). He also has significant experience in data centre joint ventures and limited‑recourse financing, including the first data centre in the Middle East financed on that basis, and has advised on NEOM residential communities valued at more than US$5.5 billion.

Ramy holds a J.D. (Hons.) from George Washington University Law School (2014) and is admitted to the New York State Bar (2015) and the District of Columbia Bar (2016). He is fluent in English and Arabic. He is recommended by The Legal 500 for Commercial, Corporate, and M&A in the UAE.
