Noff Al Khafaji

Noff Al Khafaji is Of Counsel (Senior Counsel) in the Corporate Department at Al Tamimi & Company, based in Dubai International Financial Centre, focusing on Corporate Law. She has over 10 years of corporate experience, working on a variety of corporate and advisory matters for both national and multinational clients.

Noff advises on all types of corporate and restructuring matters both within and outside the free zones, with particular expertise in dealing with the Dubai International Financial Centre, including formation of entities, group reorganising and advising on optimal corporate structures to conduct commercial activities at all stages.

She also advises on corporate laws and regulations, including regulatory strategies and compliance, and has advised government authorities on regulatory matters in connection with the establishment of free zones and drafting implementing regulations to provide the legislative framework for setting up and regulating corporate entities in such free zones.

Her recent experience includes the re-domiciliation of United Arab Shipping Company, established by virtue of a treaty between six GCC governments, to the Dubai International Financial Centre; the merger of RAK Free Trade Zone and RAK Investment Authority and assisting with the new free zone structure named RAK Economic Zones (RAKEZ); drafting corporate company regulations and operating rules for various free zones in the UAE; group restructuring matters for high net worth clients; and setting up international law firms within the DIFC.

Prior to joining Al Tamimi & Company, Noff completed an internship with the Legal Affairs Department of The Ruler’s Court, Government of Dubai. She holds an LLB from the University of Wales (2011) and is a licensed Legal Consultant with the Government of Dubai Legal Affairs Department. She speaks English.
